Carrier Select Telecoms – Standard Terms of Service
These Terms of Service govern the supply of connectivity, voice, and managed IT services by Carrier Select
Telecoms (Pty) Ltd (“CST”) to the Client. By signing this agreement or accepting it electronically, the Client
agrees to be bound by these terms.
1. Definitions
Unless otherwise stated, key terms include: Agreement (this document and annexures); Client (the business
or individual accepting these Terms); Services (all connectivity, voice, cloud, and IT solutions supplied by
CST); Equipment (hardware or software supplied under these Terms and remaining CST’s property unless
purchased outright); Effective Date (the date services are activated).
2. Term and Termination
This Agreement shall commence on the Effective Date and shall continue for the initial period specified in the Service Schedule. Thereafter, it will automatically renew on a month-to-month basis unless either Party provides ninety (90) days’ written notice of termination, or as otherwise agreed in writing. Early termination may result in a reasonable cancellation fee equivalent to the remaining contract value.
3. Services and Equipment
CST will provide the Services with reasonable skill and care. Equipment supplied remains CST’s property and
must be returned in good order upon termination. The Client must insure CST-owned Equipment against
theft, damage, or loss.
4. Service Levels and Maintenance
CST strives for 99% uptime, excluding scheduled maintenance and force majeure. Maintenance windows will,
where possible, be communicated 24 hours in advance. Outages caused by upstream networks or power
failure are excluded from SLA calculations.
5. Fees and Payment
Invoices are issued monthly in arrears and payable within 7 days of invoice date unless otherwise agreed. All
amounts exclude VAT. Late payments may accrue interest at the maximum rate allowed under the National
Credit Act. Disputed amounts do not suspend payment of undisputed charges.
6. Client Responsibilities
The Client must use the Services lawfully and in line with CST’s Acceptable Use and Fair Usage Policies. The
Client may not tamper with or relocate Equipment. The Client is responsible for all usage and activity
originating from its premises or systems.
7. Cybersecurity and Data Protection
CST implements reasonable safeguards but cannot guarantee absolute data security. The Client remains
responsible for its own cybersecurity, backups, and access controls. CST processes all personal information
in line with the Protection of Personal Information Act (POPIA). See privacy policy at www.carrierselect.co.za.
8. Subcontracting
CST may, at its discretion, engage approved subcontractors, affiliates, or upstream vendors to perform any
portion of the Services. CST remains responsible for overall service delivery and compliance with this
Agreement.
9. Change Management and Rate Review
CST may amend pricing or service terms upon 30 days’ written notice. Annual rate adjustments will not
exceed 10% or the prevailing Consumer Price Index (CPI), whichever is greater. Continued use after
notification constitutes acceptance of the new rates.
10. NonnSolicitation
During the term of this Agreement and for six (6) months thereafter, the Client shall not directly or indirectly
solicit, employ, or contract with any CST employee or subcontractor involved in delivering the Services.
Breach of this clause entitles CST to claim a penalty equal to 40% of the employee’s annual remuneration.
11. Network Abuse and Security Policy
The Client agrees to comply with CST’s Acceptable Use and Network Security Policy available at
www.carrierselect.co.za/acceptablenuse. CST reserves the right to suspend or terminate Services
immediately if any abuse, spam activity, network attack, or security breach originates from the Client’s
account or infrastructure.
12. Limitation of Liability
CST shall not be liable for indirect, consequential, or special losses, including loss of profit, revenue, or data.
Direct liability is limited to the total fees paid by the Client in the 12 months preceding the claim.
13. Dispute Resolution
Any dispute will first be resolved by negotiation within 14 days, then referred to private mediation before
litigation. Either party may seek urgent High Court relief where appropriate.
14. Governing Law and Jurisdiction
This Agreement is governed by South African law. The Parties consent to the jurisdiction of the Western
Cape Magistrate’s Court without limiting CST’s right to proceed in the High Court.
15. Acceptance and Signature
By signing below or accepting electronically, the Client confirms having read, understood, and agreed to
these Terms of Service.
